Fund structure and roles

General Partner (GP)

A general partner (GP) is the partner legally responsible for managing a limited partnership, often acting through an entity. In conversation, “GP” can also mean the people or firm managing the fund. Its obligations and liability depend on the fund’s structure and governing documents.

Example: The GP selects investments and oversees the fund under the limited partnership agreement (LPA).
